General Terms and Conditions of Business

These terms and conditions govern the provision of construction services and materials by VK BUILDTECH LTD

1. Introduction and Company Information

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "Customer", "you") and VK BUILDTECH LTD ("Company", "we", "us", "our") regarding the provision of construction services, renovation works, specialized construction, and construction materials supply.

1.2 Scope of Services

VK BUILDTECH LTD provides the following services:

  • Building construction and new build projects
  • Renovation and refurbishment services
  • Facade insulation and external wall insulation systems
  • Interior finishing and fit-out works
  • Specialized construction including clean rooms, data centers, and heritage restoration
  • Wholesale and retail supply of construction materials
  • Project management and construction consultancy
1.3 Acceptance of Terms

By engaging our services, requesting a quotation, placing an order, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

2. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires:

  • "Agreement" means the contract between the Company and the Client for the provision of Services
  • "Client" means the person, company, or organization engaging the Company's services
  • "Contract" means the written agreement incorporating these Terms and the specific project details
  • "Materials" means construction materials, equipment, and supplies provided by the Company
  • "Project" means the construction work or services to be performed
  • "Services" means all construction, renovation, and related services provided by the Company
  • "Site" means the location where the Services are to be performed
  • "Specification" means the detailed description of work to be performed
  • "Subcontractor" means any third party engaged by the Company to perform part of the Services
  • "Works" means the construction work and services to be carried out under the Contract

3. Quotations and Estimates

3.1 Quotation Validity

All quotations provided by the Company are valid for a period of 30 days from the date of issue unless otherwise specified. Quotations are based on the information provided by the Client at the time of request and are subject to site survey and final specification confirmation.

3.2 Estimate Accuracy

Estimates are provided in good faith based on available information. Final pricing may vary following detailed site survey, specification finalization, and discovery of unforeseen conditions. Any significant variations will be communicated to the Client before proceeding.

3.3 Quotation Acceptance

Acceptance of a quotation must be confirmed in writing (including email) within the validity period. Upon acceptance, the quotation becomes a binding contract subject to these Terms and Conditions.

3.4 Variations to Quotations

Any changes to the original specification after quotation acceptance will be subject to additional charges. All variations must be agreed in writing before implementation. The Company reserves the right to adjust pricing for material cost fluctuations beyond our control.

4. Contract Formation and Acceptance

4.1 Contract Formation

A contract is formed when the Client accepts our quotation in writing and any required deposit is received. The contract comprises the accepted quotation, these Terms and Conditions, and any additional specifications or drawings referenced in the quotation.

4.2 Contract Documentation

The Company will provide written confirmation of the contract including project scope, timeline, payment terms, and total contract value. Any discrepancies must be reported within 7 days of receipt.

4.3 Authority to Contract

The Client warrants that they have full authority to enter into the contract and, where applicable, have obtained all necessary permissions from property owners, landlords, or other relevant parties.

4.4 Cooling-off Period

For contracts entered into at the Client's premises or through distance selling, the Client may have a right to cancel within 14 days under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, subject to certain exceptions for customized goods and services.

5. Payment Terms and Conditions

5.1 Payment Schedule

Payment terms will be specified in the contract and typically follow this structure:

  • Deposit: 20-30% upon contract signing
  • Progress payments: As specified in the contract, typically aligned with project milestones
  • Final payment: Within 7 days of practical completion and handover
  • Retention: 5% may be retained for 12 months as defects liability period
5.2 Payment Methods

Payments may be made by bank transfer, cheque, or other methods as agreed. Credit card payments may be subject to additional processing fees. Cash payments over £10,000 are not accepted in compliance with money laundering regulations.

5.3 Late Payment

Late payment charges will apply in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Interest will be charged at 8% above the Bank of England base rate per annum. The Company reserves the right to suspend work for non-payment.

5.4 Disputed Invoices

Any disputes regarding invoices must be raised within 7 days of receipt. Undisputed portions of invoices remain payable according to the agreed terms. The Company will investigate disputes promptly and fairly.

5.5 Set-off and Deductions

The Client may not withhold payment or make deductions except as permitted by the Construction Act 1996 (as amended) or where expressly agreed in writing. Any right of set-off must be exercised in accordance with statutory requirements.

6. Performance of Services

6.1 Commencement of Work

Work will commence on the agreed start date subject to receipt of deposit, necessary permits, favorable weather conditions, and site accessibility. The Company will provide reasonable notice of any delays beyond our control.

6.2 Working Hours

Normal working hours are Monday to Friday 8:00 AM to 6:00 PM, Saturday 9:00 AM to 4:00 PM. Work outside these hours requires prior agreement and may incur additional charges. No work will be performed on Sundays or public holidays without express agreement.

6.3 Site Access and Conditions

The Client must provide safe and reasonable access to the site and ensure the site is clear of personal belongings and obstacles. The Company is not responsible for damage to items not removed from the work area. Utilities (water, electricity, waste disposal) must be available as required.

6.4 Health and Safety

The Company will comply with all relevant health and safety legislation including the Construction (Design and Management) Regulations 2015. The Client must ensure their own compliance with health and safety requirements and cooperate with the Company's safety procedures.

6.5 Quality Standards

All work will be performed in accordance with British Standards, Building Regulations, and industry best practices. Materials used will be of merchantable quality and fit for purpose. The Company maintains appropriate trade and professional insurances.

6.6 Variations and Additional Work

Any additional work or variations to the original specification must be agreed in writing with pricing confirmed before commencement. Emergency or safety-related work may be undertaken immediately with retrospective written confirmation.

7. Materials and Supply

7.1 Material Quality

All materials supplied will be new, of merchantable quality, and comply with relevant British Standards and Building Regulations. Materials will be sourced from reputable suppliers and manufacturers. Certificates of compliance will be provided where required.

7.2 Material Selection

Where the Client specifies particular materials or brands, the Company will endeavor to supply as requested. If specified materials are unavailable, suitable alternatives will be proposed. The Company is not liable for delays caused by material unavailability beyond our control.

7.3 Material Ownership

Materials become the property of the Client upon delivery to site and payment of the relevant invoice. Until payment, materials remain the property of the Company. Risk in materials passes to the Client upon delivery.

7.4 Defective Materials

The Company will replace defective materials at no cost to the Client provided defects are reported promptly and are not due to misuse, normal wear and tear, or damage after delivery. Manufacturer warranties will be passed to the Client where applicable.

7.5 Material Waste and Disposal

The Company will dispose of construction waste in accordance with environmental regulations. Hazardous materials will be handled and disposed of by licensed contractors. Additional charges may apply for excessive waste disposal requirements.

8. Completion and Handover

8.1 Practical Completion

Practical completion occurs when the works are substantially complete and ready for use, notwithstanding minor defects that do not affect the use or safety of the works. A completion certificate will be issued confirming practical completion date.

8.2 Final Inspection

The Client will be invited to inspect the completed works. Any defects or omissions identified will be recorded and remedied promptly. The Client's signature on the completion certificate confirms acceptance of the works.

8.3 Handover Documentation

Upon completion, the Company will provide relevant documentation including warranties, operating instructions, maintenance schedules, and compliance certificates. Building Control completion certificates will be obtained where required.

8.4 Keys and Security

All keys, access codes, and security devices will be handed over to the Client upon final payment. The Company will not retain copies of keys or access codes without express written agreement.

9. Warranties and Defects Liability

9.1 Workmanship Warranty

The Company warrants its workmanship for a period of 12 months from practical completion. This warranty covers defects arising from faulty workmanship but excludes normal wear and tear, misuse, or damage caused by third parties.

9.2 Material Warranties

Material warranties are provided by manufacturers and will be assigned to the Client. Warranty periods vary by product type and manufacturer. The Company will assist with warranty claims but is not liable beyond the manufacturer's warranty terms.

9.3 Defects Liability Period

During the 12-month defects liability period, the Company will remedy defects arising from faulty workmanship at no cost to the Client. Defects must be reported promptly in writing with reasonable access provided for remedial work.

9.4 Structural Warranty

For structural work, an extended warranty of 6 years applies in accordance with the Defective Premises Act 1972. This covers structural defects that render the property unfit for habitation or dangerous to health and safety.

9.5 Warranty Exclusions

Warranties do not cover damage caused by fair wear and tear, misuse, neglect, failure to maintain, alterations by others, or circumstances beyond the Company's control including extreme weather events.

10. Insurance and Liability

10.1 Company Insurance

The Company maintains comprehensive insurance coverage including:

  • Public Liability Insurance: Minimum £2,000,000
  • Employers' Liability Insurance: Minimum £10,000,000
  • Professional Indemnity Insurance: Minimum £1,000,000
  • Contractors' All Risks Insurance: As appropriate to project value
10.2 Client Insurance

The Client must maintain adequate property insurance and notify their insurer of the construction work. The Client should ensure their insurance covers the increased risk during construction and the increased value upon completion.

10.3 Limitation of Liability

The Company's total liability under any contract is limited to the contract value. Liability for consequential losses, loss of profits, or indirect damages is excluded except where prohibited by law. Nothing in these terms excludes liability for death or personal injury caused by negligence.

10.4 Force Majeure

The Company is not liable for delays or failure to perform due to circumstances beyond reasonable control including extreme weather, natural disasters, strikes, material shortages, or government restrictions. Time for performance will be extended accordingly.

11. Termination

11.1 Termination by Client

The Client may terminate the contract by giving 7 days written notice. The Client remains liable for all work completed and materials ordered up to the termination date, plus reasonable costs incurred in termination including subcontractor cancellation fees.

11.2 Termination by Company

The Company may terminate the contract immediately upon written notice if:

  • The Client fails to make payment when due
  • The Client breaches any material term of the contract
  • The Client becomes insolvent or enters administration
  • Site access is denied or unsafe working conditions exist
11.3 Effect of Termination

Upon termination, all unpaid invoices become immediately due. The Company will remove equipment and unused materials from site. Completed work and installed materials remain the property of the Client upon payment of all amounts due.

12. Dispute Resolution

12.1 Initial Resolution

The parties will attempt to resolve disputes through direct negotiation in good faith. Disputes should be raised promptly in writing with full details of the issue and proposed resolution.

12.2 Mediation

If direct negotiation fails, disputes may be referred to mediation through a recognized mediation service such as the Centre for Effective Dispute Resolution (CEDR). Mediation costs will be shared equally unless otherwise agreed.

12.3 Adjudication

For construction disputes, either party may refer the matter to adjudication under the Construction Act 1996. The adjudicator's decision is binding until the dispute is finally determined by arbitration or litigation.

12.4 Arbitration and Litigation

Disputes not resolved through mediation or adjudication may be referred to arbitration or the courts of England and Wales. The choice between arbitration and litigation will be determined by the contract terms or mutual agreement.

13. Data Protection and Privacy

13.1 Data Processing

The Company processes personal data in accordance with UK data protection legislation including the UK GDPR and Data Protection Act 2018. Full details of data processing are set out in our Privacy Policy available on our website.

13.2 Client Data

Client personal data will be processed for the purposes of providing services, managing the contract, and complying with legal obligations. Data will be retained in accordance with our data retention policy and legal requirements.

13.3 Third Party Data

Where the Client provides personal data of third parties (e.g., tenants, neighbors), the Client warrants they have appropriate consent or legal basis for sharing such data and will indemnify the Company against any claims arising from unauthorized data sharing.

14. Intellectual Property

14.1 Design Rights

Where the Company provides design services, intellectual property rights in designs remain with the Company unless specifically assigned to the Client. The Client receives a license to use designs for the specific project only.

14.2 Client Materials

The Client grants the Company a license to use any designs, specifications, or materials provided by the Client for the purposes of performing the contract. The Client warrants they have the right to grant such license.

14.3 Marketing Rights

The Company may photograph completed work for marketing purposes unless the Client objects in writing. No internal photographs will be taken without consent. The Client's name and project details will not be used in marketing without permission.

15. General Provisions

15.1 Entire Agreement

These Terms and Conditions, together with the contract and any referenced specifications, constitute the entire agreement between the parties. No oral agreements or representations are binding unless confirmed in writing.

15.2 Amendments

Amendments to these terms must be agreed in writing and signed by both parties. The Company may update these terms from time to time, with changes applying to new contracts entered after the update date.

15.3 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Invalid provisions will be replaced with valid provisions that achieve the same commercial purpose.

15.4 Waiver

Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. Waivers must be in writing to be effective.

15.5 Assignment

The Client may not assign or transfer their rights under the contract without written consent. The Company may assign the contract to associated companies or in connection with business transfers.

15.6 Notices

All notices must be in writing and delivered by hand, recorded delivery post, or email to the addresses specified in the contract. Notices are deemed received upon delivery or, for email, upon transmission during business hours.

15.7 Governing Law

These Terms and Conditions are governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.

16. Consumer Rights

16.1 Consumer Contracts

Where the Client is a consumer (as defined by the Consumer Rights Act 2015), additional statutory rights apply that cannot be excluded by these terms. These include rights relating to satisfactory quality, fitness for purpose, and conformity with description.

16.2 Unfair Terms

Any term that is unfair under the Consumer Rights Act 2015 will not be binding on consumer clients. The Company will not rely on unfair terms and will ensure all terms are transparent and proportionate.

16.3 Alternative Dispute Resolution

Consumer clients may access alternative dispute resolution through approved schemes. Details of relevant schemes will be provided upon request. This does not affect the right to pursue claims through the courts.
